1. Agreement to these Terms

These Terms and Conditions ("Terms") form a binding agreement between you and Profizzer ("Profizzer," "we," "us" or "our"). They cover your use of the Profizzer website and of any related pages, tools and services we run (together, the "Service"). By creating an account, or by using the Service in any other way, you confirm that you have read these Terms and that you accept them. You also accept our Privacy Policy and Cookies Policy, which are part of this agreement. If you don't agree with any of it, please don't use the Service.

We may add features, tools or promotions over time. Unless we say otherwise when we add them, they fall under these Terms as well.

2. Words we use

A few terms have a fixed meaning in this document:

• "Account" is the profile you create to use the Service.
• "Content" is any text, image, data or other material on the Service, whoever supplied it.
• "Your Content" is whatever you submit to the Service, such as messages to us or details you add to your Account.
• "Partner" is a company other than Profizzer whose offer or content appears on or is reached through the Service.
• "Credits" means any promotional points or balances we may apply to an Account, as described in Section 7.

3. Who can use Profizzer

You must be at least 18 years old, or the age of legal majority where you live if that is higher. You must also be allowed to use the Service under the laws that apply to you. By registering you confirm that you meet these conditions and that the information you give us is accurate.

We may ask you to confirm your age or identity at any time. If we reasonably believe you don't meet the requirements, we may limit or close your Account.

4. Your account

You'll need to give us a working email address and choose a password. Please keep both up to date and keep your password to yourself. You are responsible for everything that happens under your Account, including actions taken by someone who got into it because a password was shared or left unprotected. If you think someone has used your Account without your permission, contact us straight away and we'll help you secure it.

Each person may hold one Account. Please don't share an Account, sell it or hand it to someone else. We may ask you to verify your Account from time to time, and some features may be limited until you do.

5. What Profizzer offers

Profizzer is an online platform run by us. It gives you access to Content, features and Partner offers that we choose to make available. What the Service includes, and how it looks, will change as we improve it. We can't promise that any particular feature, listing or piece of Content will stay available.

6. Partners and their offers

Many of the offers you see are provided by Partners. When you open one, you leave Profizzer and deal directly with that Partner. Their own terms and privacy practices apply from that point, and we encourage you to read them before you continue.

To keep your account accurate, a Partner or an intermediary may tell us that you opened, installed or finished something. We use that information to update your Account and to apply Credits where they apply. Partners set their own requirements, and they may change, pause or remove an offer without warning. We don't control those decisions and we can't guarantee that any Partner listing will be available, or that it will work on your device.

7. Promotional credits

From time to time we may apply Credits to an Account in connection with certain activities. Credits are a promotional feature. We give them at our own discretion, and they have no value outside the Service unless we expressly say otherwise in writing. Their amount, the conditions for receiving them, and whether they are offered at all may change at any time.

We may review Credits before or after they are applied. We can correct, reduce or reverse any Credits that were applied by mistake, that a Partner later declines to confirm, or that are linked to misuse of the Service, such as automated activity, duplicate accounts or false information. Credits can't be sold or transferred to anyone else.

8. Rules of use

You agree to use the Service lawfully and with respect for other people. In particular, you agree not to:

• break any law or regulation that applies to you or to us;
• try to disrupt the Service, bypass its security, or access parts of it you aren't meant to reach;
• copy, reverse engineer or extract the source code of the Service;
• use bots, scripts or other automated tools to interact with the Service;
• open more than one Account, or use someone else's details to register;
• give us false information or pretend to be another person or business;
• submit anything that is unlawful, abusive, threatening or hateful;
• interfere with another person's use of the Service or attempt to get into their Account.

We may look into suspected breaches of these rules. Where appropriate we may remove Content, limit or close an Account, and report the matter to the authorities.

9. What you submit

You keep ownership of Your Content. You give us a non-exclusive, worldwide license, at no charge, to store, display and use Your Content only as needed to run, protect and improve the Service. The license ends when you delete Your Content or close your Account, except that we may keep copies where the law, security needs or ordinary backups require it.

You are responsible for Your Content. You confirm that you have the right to submit it and that doing so doesn't infringe anyone else's rights.

10. Ownership

The Service, including its design, text, graphics, layout and software, belongs to Profizzer or its licensors and is protected by intellectual property laws. You may use the Service as these Terms allow, and nothing here gives you any ownership of it. The Profizzer name and logo are our marks, and you may not use them without our written permission. Partner names and logos belong to their owners.

11. Links to other sites

The Service may link to websites and services run by other people. We don't own or control them, and we aren't responsible for what they contain or how they operate. A link isn't an endorsement.

12. Changes and interruptions

We work to keep the Service running smoothly, but we can't promise it will always be available or work without errors. It may be unavailable during maintenance or because of technical problems or events outside our control. We may change, pause or discontinue any part of the Service, temporarily or permanently, with or without notice.

13. Ending your access

You may stop using the Service at any time and can ask us to close your Account by writing to [email protected]. We may limit, suspend or close an Account if we reasonably believe these Terms have been broken, if there has been fraud or misuse, or if we need to do so to protect the Service or other people. Parts of these Terms that are meant to continue after your access ends, such as ownership, disclaimers and limits on liability, will do so.

14. No warranty

The Service is provided "as is" and "as available." To the fullest extent the law permits, we make no promises of any kind, whether express or implied, including any implied promise of merchantability, fitness for a particular purpose or non-infringement. We don't promise that the Service will be uninterrupted or secure, that it will be without errors, or that any Partner's offer will meet your expectations.

15. Limits on our liability

To the fullest extent the law permits, Profizzer and its owners, officers, staff and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost data, lost profits or lost goodwill, arising from your use of the Service or your inability to use it, even if we were told such loss was possible. Our total liability for any claim connected to these Terms or the Service will not exceed the amount, if any, that you spent on the Service in the twelve months before the claim arose. Some places don't allow certain limits, so parts of this section may not apply to you.

16. Your responsibility for claims

You agree to defend and hold Profizzer and its owners, officers, staff and affiliates harmless from any claim, loss or expense, including reasonable legal fees, that arises from your use of the Service, Your Content, or your breach of these Terms or of another person's rights.

17. Governing law and courts

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service must be brought in the state or federal courts located in Hillsborough County, Florida, and you agree to the personal jurisdiction of those courts.

18. Updates to these Terms

We may revise these Terms to reflect changes to the Service, the law or how we work. When we do, we'll change the "Last updated" date at the top of this page, and for significant changes we'll take reasonable steps to let you know. If you keep using the Service after a new version takes effect, you accept it.

19. Everything else

If a part of these Terms is found to be unenforceable, the rest stays in force. If we don't insist on a right straight away, we haven't given it up. You may not assign these Terms to anyone else, but we may assign ours as part of a merger, sale or reorganization. These Terms, together with the Privacy Policy and Cookies Policy, are the whole agreement between you and Profizzer about the Service and replace anything agreed earlier.
